These Terms and Conditions of Service (“Terms”, “Terms and Conditions”) govern your (“You”, “Your” or “Licensee”) relationship with Skynet Technologies USA LLC (together with its subsidiaries, representatives, affiliates, officers, and directors, “Skynet Technologies”, “We”, “Us”, or “Our”) regarding your access and use of our website at www.skynettechnologies.com (together with any other associated websites, collectively the “Skynet Technologies Website”) and the professional services or products we provide (collectively referred to herein as the “Products” and together with the Skynet Technologies Website, the “Service”). The Service may be used on a website or on digital content owned or controlled by Licensee (the “Licensee Website”).
Skynet Technologies, its parent company or its subsidiaries, affiliates and suppliers (hereby “Skynet Technologies”) own all intellectual property rights in the All in one Accessibility Software, code, plugin, website, widget and servers.
Acceptance of Terms
Please read these Terms carefully before using the Services. Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms, which may be indicated by clicking the “I Accept” or “I Agree” option available in some of the Products, completing the registration process, or using the Services. By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, then you may not use or access the Service. To agree to these Terms, You must (i) be at least 18 years old or have the consent of your parent or guardian, and (ii) have the power to enter into a binding contract with Us and not be prohibited from doing so under any applicable law.

Your use of the Service is subject to any additional terms, policies, rules, or guidelines applicable to the Service or certain features of the Service that may be published by Us from time to time. All such additional terms, policies, rules, or guidelines are incorporated herein by reference and shall be considered an integral part of these Terms.
Non-exclusive License
Subject to these Terms, You are granted a limited, revocable, non-exclusive, non-assignable, non-sublicensable license to install and use the Products on the Licensee Website. This License applies to one Licensee Website unless otherwise specified. The License does not grant You any ownership rights over the Products. After embedding the Products in your website, no further use of the same may be made without obtaining an additional License for any additional websites.
You shall not: (i) sublicense, distribute, or use the Service outside the scope of these Terms; (ii) copy, modify, reproduce, adapt, translate, or create derivative works of the Service; (iii) reverse engineer, decompile, disassemble, or attempt to discover the source code of the Service; (iv) rent, lease, license, sell, assign, or otherwise transfer rights in the Service; (v) use any trademarks, trade names, service marks, logos, domain names, or other distinctive brand features associated with the Service without our written consent; or (vi) use, post, transmit, or introduce any device, software, or routine that interferes with the operation of the Service.
Skynet Technologies Service
Skynet Technologies uses commercial efforts to ensure that its Products enable the Licensee Website to comply with relevant accessibility standards. When the Products are embedded into the Licensee Website, various accessibility enhancements will become available.
Skynet Technologies also offers professional services to assist with the remediation of accessibility issues. You are responsible for implementing our instructions to ensure compliance.
Support
We provide technical support during regular business hours via email, chat, and video conferencing. Support services are subject to payment of support fees and are provided on a reasonable commercial efforts basis.
Rules of Conduct
You may not use the Service in connection with any content that is illegal or infringes upon the intellectual property or proprietary rights of Skynet Technologies or any third party. You may not use the Service to post defamatory information or send spam messages. We reserve the right to notify appropriate law enforcement in case of criminal offense.
Privacy
You have reviewed and agree to comply with Skynet Technologies’ Privacy Policy. You agree not to enter or provide any personally identifiable information (PII) while using our services. Skynet Technologies may store your data on its servers for the purpose of improving its services. You are responsible for ensuring compliance with applicable privacy regulations.
Payments
These Terms and any purchase order or payment record (collectively the “PO”) constitute the complete agreement between Us and the customer identified in the PO. All fees are quoted in U.S. Dollars and are payable upon the terms specified in the PO.
Software Updates
Skynet Technologies reserves the right, at its sole discretion, to change or modify its Software, website, widget, plugin or any code and deploy any changes publicly on your website without prior notice to you.
Technical Support
Skynet Technologies has no obligation to provide any upgrades, technical information, or technical support of any kind.
Restriction to Transfer
You may not assign your rights or obligations under this EULA, or redistribute, encumber, sell, rent, lease, sublicense, or otherwise transfer those rights.
Restriction on Use
You may not decompile, “reverse-engineer”, disassemble, or otherwise attempt to derive the source code of the Skynet Technologies Software.
Restriction on Alteration
You many not modify the Skynet Technologies Software or create any derivative work of Skynet Technologies, it's website, widget, plugin, code or any accompanying documentation. You may not alter any files or libraries in any portion of the Skynet Technologies Software. You may not reproduce the Skynet Technologies database or create any copies of Skynet Technologies data.
Restriction on Copying
You may not copy or reproduce any part of the Skynet Technologies Software.
Ownership
Skynet Technologies retains all interests, intellectual property, ownership rights and title in the Software and all copies thereof including but not limited to computer code, documents and documentation, copyrights, patents, trademarks, trade secrets, trade names, titles, designs, and methods of operation. The Software is protected by the copyright laws of the State of Kentucky, the United States of America, international treaties, conventions and other laws around the world.
Intellectual Property
The Service’s original content, features, and functionality are the exclusive property of Skynet Technologies and its licensors. You may not use our trademarks, content, designs, or service marks without our prior written consent. Any feedback or suggestions you provide become our property, and you waive any claims to intellectual property rights over them.
Links to Other Websites
Our Service may contain links to third-party websites. Skynet Technologies is not responsible for the content, privacy policies, or practices of any third-party websites. Your use of such websites is at your own risk.
Termination
We may terminate your use of the Service immediately for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease. You remain liable for any outstanding payments due.
Indemnification
You shall indemnify, hold harmless, and defend Skynet Technologies and its affiliates from any third-party claims arising out of your use of the Service or your breach of these Terms.
No Warranties
All in one Accessibility plugin does not guarantee WCAG compliance!
All in one Accessibility interacts with each website, browser and operating system differently and therefore provides no warranty or assurances that the Software will perform as expected on your website. If you or your users experience any unexpected technical issues, bugs or malfunctions, it is your responsibility to report such issues to [email protected] including relevant screenshots, video recording, browser versions, OS version and device type.
If Skynet Technologies All in one Accessibility Software changes the intended behavior of your website in any way or does not provide accessibility improvements as expected, you may remove any Skynet Technologies code from your servers and discontinue using the Software.
Disclaimer
All in One Accessibility software is licensed to you “as is” and Skynet Technologies disclaims any and all warranties, express or implied, including without limitation any implied warranties of merchantability or fitness for a particular purpose, to the extent authorized by law. Without limiting the foregoing, Skynet Technologies makes no representations that use of the software will not infringe any copyright, patent or trademark or other rights held by a third party.
Further and without limiting the foregoing, Skynet Technologies makes no warranties or representations that the software will meet your requirements or that operation of the software will be uninterrupted, error free or will not harm your computer or mobile device. You assume responsibility for determining whether the software and its results, if any, are appropriate for yourself, your software, your website, your server, your product and your computer or mobile device. You shall bear the entire risk as to the performance, operation and quality of the software.
Dashboard, Automated accessibility reports cannot be misunderstood with ADA or any accessibility compliance report.
Limitation of Liability
Skynet Technologies All in one Accessibility plugin/software does not guarantee WCAG compliance! it is your sole responsibility to ensure your website is accessible and tested for compliance with WCAG 2.1 & 2.2 or other accessibility regulations as required by law. Moreover, you hereby agree to test the All in one Accessibility widget and all of its accessibility features on your website locally prior to rolling it out publicly to ensure proper functionality.
By choosing to use the All in one Accessibility widget you hereby claim that all of the pages and content on your site have been tested with common browsers and operating systems and with each of All in one Accessibility’s accessibility features (contrast changes, text size changes, keyboard navigation, cursor size, link highlighting, font changes, desaturation, etc.) and that all available functionality works properly and as intended.
In no event shall Skynet Technologies be liable to you or to any third party claiming through you or on your behalf.
As such, neither Skynet Technologies, its directors, officers, employees or agents, nor any Skynet Technologies partner, affiliate or solution provider shall in any way be liable to you or your users and you hereby waive any direct or indirect, economic, financial, special, commercial, incidental, exemplary or consequential damages, including without limitation lost profits, citations, loss of business revenue or earnings, lost data, damages caused by bugs, glitches, malfunctions or a failure to realize intended functionality, design or content, arising from or in connection with the use or performance of the Software, even if Skynet Technologies or a Skynet Technologies affiliate are aware of the possibility of such damages.
You agree to indemnify and hold Skynet Technologies harmless from all claims, judgments, liabilities, expenses, or costs arising from any breach of this Terms & conditions and/or acts or omissions.
Governing Law
These Terms are governed by the laws of the State of Kentucky. Any disputes arising from these Terms shall be resolved in the courts of Kentucky.
Changes
We may modify these Terms at any time. By continuing to use the Service after changes become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, discontinue using the Service.
